These Terms of Service ("Terms") govern your access to and use of the Sellphin platform, website, and related services (collectively, the "Service"), operated by BurstMarketplace LLP, a limited liability partnership registered in Wyoming, United States, with registered address at 30 N Gould St Ste N, Sheridan, Wyoming 82801 ("Sellphin", "we", "us", or "our"). By creating an account, subscribing to, or otherwise using the Service, you ("you", "your", or the "Customer") agree to be bound by these Terms. If you do not agree, do not use the service. The service is intended for business and professional use only. By using the Service you confirm that you are acting for purposes relating to your trade, business, craft, or profession, and not as a consumer.
The Service
Sellphin is a software-as-a-service platform that connects to Amazon Seller Central, Vendor Central, and Amazon Advertising accounts to provide analytics, reporting, advertising insights, profitability and inventory analysis, and related tools, including AI-assisted features. The specific features available to you depend on the plan you subscribe to.
We may add, modify, or remove features over time. We will not make material reductions to the core features of your paid plan during a billing period without notice.
Accounts and access
To use the service, you must create an account and provide accurate, complete registration information. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You are responsible for ensuring that you have the necessary rights and authorizations to connect any third-party accounts (including Amazon accounts) to the Service and for complying with the terms of those third-party services. You must be at least 18 years old and authorized to enter into these Terms on behalf of your business.
Subscriptions, plans, and payment
AI features and credits
Certain features use artificial intelligence to generate analysis, recommendations, reports, and other outputs. AI-generated outputs are provided for informational purposes only, may contain errors, and should not be relied upon as professional, financial, legal, or business advice. You are responsible for reviewing and validating any output before acting on it. Where your plan includes AI credits, credit allowances, consumption rates, and any overage pricing are described in your plan. Unused credits do not roll over between billing periods unless expressly stated.
Acceptable use
You agree not to:
• Use the service in violation of any applicable law or third-party terms, including Amazon's policies.
• Attempt to gain unauthorized access to the service, other accounts, or our systems.
• Reverse engineer, decompile, copy, or create derivative works of the Service, except as permitted by law.
• Resell, sublicense, or provide the Service to third parties without our written consent.
• Upload malicious code or interfere with the operation of the service.
• Use the service to build a competing product.
• We may suspend or terminate access for violations of this section.
Intellectual property
The Service, including all software, design, and content, and all intellectual property rights in it, remain the exclusive property of Sellphin or its licensors. These Terms do not transfer any ownership to you. You are granted a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, for your internal business purposes only. You retain all rights to the data you connect or upload to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service.
Data protection
Our processing of personal data is described in our Privacy Policy. You are responsible for ensuring you have the necessary rights to connect any data to the Service and for your own compliance obligations in respect of the data you process using the Service.
Third-party services
The Service integrates with third-party services, including Amazon. We are not responsible for the availability, accuracy, or actions of third-party services, and your use of them is subject to their own terms. Changes made by third parties (including changes to their APIs) may affect the Service.
Availability and support
We aim to keep the service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance and may suspend the service where necessary for security or operational reasons. Support is provided as described in your plan.
Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service, or any analysis, estimate, or AI output, will be accurate, complete, or suitable for your purposes, or that using the Service will produce any particular business or financial result.
Limitations of Liability
To the maximum extent permitted by law, Sellphin and its partners, officers, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to the Service. Our total aggregate liability arising out of or related to these Terms or the Service will not exceed the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the liability.
Indemnification
You agree to indemnify and hold harmless Sellphin from any claims, damages, or costs arising from your use of the Service, your Customer Data, or your breach of these Terms or of any third-party terms
Term and termination
These Terms apply for as long as you use the Service. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate your access if you breach these Terms or fail to pay. On termination, your right to use the Service ends. We may delete your account and Customer Data after a reasonable period, subject to any legal retention obligations.
Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide reasonable notice. Continued use of the Service after changes take effect constitutes acceptance.
Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. The courts located in Wyoming will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory rights you may have under the laws of your country of establishment.
